Nothing in this Section is intended to limit, modify, expand, replace, or otherwise affect any liability, warranty, indemnification obligation, product responsibility, regulatory obligation, quality obligation, recall responsibility, or remedy arising under an executed manufacturing agreement, quality agreement, Customer Terms & Conditions, accepted quotation, purchase order, or other applicable written agreement between Ally Labs and a customer.

Liability arising from products manufactured or services performed by Ally Labs shall be governed by the applicable written agreement and applicable law, rather than this website Limitation of Liability.

Exceptions Required by Law

Nothing in these Terms of Use excludes or limits liability to the extent that such liability cannot lawfully be excluded or limited under applicable law.

Some jurisdictions do not allow the exclusion or limitation of certain damages or liabilities. Accordingly, some of the limitations described above may not apply to you.

Limitation of This Website Indemnification

This Section applies solely to claims arising from or related to your use or misuse of the Ally Labs website.

It does not establish, modify, expand, replace, or govern indemnification obligations relating to products, formulations, manufacturing services, product development, testing, packaging, labeling, regulatory compliance, product claims, recalls, product liability, intellectual property associated with customer products, or other commercial services provided by Ally Labs.

Any indemnification obligations relating to the manufacture, development, testing, packaging, sale, distribution, or regulatory status of products are governed exclusively by the applicable Customer Terms & Conditions, manufacturing agreement, quality agreement, purchase order, or other written agreement between Ally Labs and the applicable customer.

1313. Governing Law

These Terms shall be governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

1414. Changes to Terms (last updated September 01, 2026)

BPI Labs, Inc. dba Ally Labs ("Ally Labs") reserves the right to modify, update, supplement, or replace these Terms of Use from time to time to reflect changes in our website, business practices, legal or regulatory requirements, security practices, or other operational needs.

Any revised Terms of Use will become effective when posted on this website unless a later effective date is expressly stated. The "Last Updated" date displayed at the top of these Terms will indicate when the Terms were most recently revised.

Your continued use of the website after revised Terms of Use become effective constitutes your acceptance of the revised Terms to the extent permitted by applicable law.

If you do not agree with the revised Terms, you should discontinue use of the website.

Ally Labs may provide additional notice of material changes when required by applicable law.

Existing Customer Agreements

Changes to these Terms of Use apply to the use of the Ally Labs website and do not modify, amend, replace, or supersede the terms of any existing manufacturing agreement, quality agreement, confidentiality agreement, accepted quotation, purchase order, Customer Terms & Conditions, or other written agreement between Ally Labs and a customer.

Any modification to an executed customer agreement must be made in accordance with the amendment or modification provisions contained in that agreement.

In the event of a conflict between these Terms of Use and an executed written agreement between Ally Labs and a customer, the executed written agreement will control with respect to the subject matter governed by that agreement.
